These Terms & Conditions (“Terms”) govern your use of the Nilkamal Global Egg website (the “Site”) and set out the basis on which we respond to enquiries, issue quotations and accept orders for table eggs. By using the Site or engaging with us commercially, you agree to these Terms. If you do not agree, please do not use the Site.
1. Definitions
“We”, “us” and “our” mean Nilkamal Global Egg, Wavi Road, Chor Kauthe, Maharashtra 422611, India. “You” means the visitor, enquirer or buyer. “Goods” means the table eggs and related products we supply. “Proforma invoice” means the written commercial document we issue setting out product, quantity, price, incoterm, payment terms and shipment window.
2. Use of the website
You may use the Site for lawful, informational and commercial-enquiry purposes only. You agree not to: (a) copy, republish or exploit Site content except as permitted; (b) attempt to gain unauthorised access to the Site or its systems; (c) introduce malicious code; (d) use automated means to scrape content in a way that burdens the Site; or (e) use the Site to infringe any third party’s rights or applicable law.
3. Product information and specifications
Product descriptions, grades, weights, Haugh units, shell-life and loadability figures shown on the Site are indicative and provided in good faith. They are confirmed against your purchase specification before shipment. Loadability figures vary with carton dimensions, pallet configuration and the stowage plan. Photographs and illustrations are for reference only.
4. Enquiries, quotations and orders
Information, prices and availability shown or shared are invitations to treat and are not a binding offer. Quotations are valid only for the period stated and are subject to prior sale and market movement. A binding contract arises only when: (a) we issue a proforma invoice; and (b) you confirm it in writing and satisfy any agreed payment or documentary condition (for example, advance payment received or a compliant letter of credit established). We reserve the right to decline or cancel any order before this point.
5. Pricing, payment and taxes
Prices are quoted in the currency stated (typically USD) and on the incoterm stated in the proforma invoice. Payment terms are as set out on the applicable proforma invoice; our standard terms are advance payment by bank transfer (T/T) or an irrevocable letter of credit at sight against documents. See payment & shipping. Bank charges, destination duties, taxes and clearance costs are the buyer’s responsibility unless expressly agreed otherwise.
6. Incoterms, shipping and delivery
Delivery obligations follow the incoterm agreed (e.g. FOB, CFR, CIF or DAP under Incoterms® as in force). Estimated lead times and sailing dates are given in good faith but are not guaranteed and may be affected by carriers, ports and authorities. Risk and title pass as determined by the agreed incoterm and payment terms.
7. Samples
Samples, where provided, are indicative of type and quality only. Courier and related costs for samples are borne by the buyer unless agreed otherwise.
8. Quality, inspection and claims
Goods are supplied to the specification agreed in the proforma invoice and accompanying documents. Where a pre-shipment or third-party inspection is agreed, it will be arranged as stated. Any claim relating to quantity, quality or condition on arrival must be notified promptly and in writing with supporting evidence (including inspection reports and photographs) within the period stated in the contract, so that it can be fairly assessed.
9. Cancellations and changes
Once a proforma invoice is confirmed and production or procurement has begun, orders may not be cancelled or amended except by mutual written agreement, which may be subject to costs already incurred.
10. Force majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including acts of God, extreme weather, disease outbreaks affecting poultry, export or import restrictions, port or carrier disruption, strikes, or government action.
11. Intellectual property
All content on the Site — text, graphics, logos, the egg device, layout and code — is owned by Nilkamal Global Egg or its licensors and is protected by law. You may not reproduce, distribute or create derivative works from it without our prior written permission.
12. Limitation of liability
To the maximum extent permitted by law: (a) the Site and its content are provided “as is” without warranties of any kind; (b) we are not liable for indirect, incidental or consequential loss, or for loss of profit, revenue or goodwill; and (c) our total liability arising out of any order is limited to the invoice value of the Goods in question. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify us against claims, losses and costs arising from your breach of these Terms or your misuse of the Site.
14. Confidentiality
Commercial information exchanged during enquiries and orders (pricing, terms, specifications) is confidential and may not be disclosed to third parties without consent, except as required by law.
15. Third-party links
The Site may link to third-party websites or services (for example, messaging or form providers). We are not responsible for their content or practices.
16. Governing law and jurisdiction
These Terms and any dispute arising from them or from the supply of Goods are governed by the laws of India. Subject to any dispute-resolution mechanism agreed in a signed contract, the courts at Maharashtra, India shall have jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. The version published on the Site at the time of your use applies. Continued use of the Site after changes constitutes acceptance.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
